DECISION

a. A. “Cluster Flats” are not houses which are required to be licensed under Part 3 of the Housing Act 2004.

b. B. None of the Respondents has committed an offence under section 95(1) of that Act in relation to any of those Flats.

c. C. The applications for RROs are therefore dismissed.

REASONS

[1]These proceedings concern 340 applications under section 41(1) of the Housing and Planning Act 2016 (“2016 Act”) for rent repayment orders (“RROs”). The applications are made by tenants (or former tenants) of accommodation within what the parties describe as “cluster flats” in several purpose built student accommodation blocks in Liverpool. Each block is managed by a subsidiary of Unite Group PLC, which is/was the relevant Applicants’ landlord and is therefore the Respondent to their applications for a RRO.

[2]The individual parties, premises and case reference numbers are identified in the Annexes hereto.

[3]Each RRO application is founded on an allegation that the relevant Respondent committed an offence under section 95(1) of the Housing Act 2004 (“2004 Act”) by having control of or managing a house which was required to be licensed under Part 3 of that Act but was not so licensed.

[4]By directions made on 29 December 2025, following a case management hearing on 9 December, the Tribunal directed that a preliminary issue be determined which, if resolved in the Respondents’ favour, would be fatal to the substantive RRO applications. The framing of the preliminary issue (in the form asserted by the Respondents) was agreed in the following terms: That upon the true construction of the 2004 Act, the Cluster Flats are not subject to selective licencing by reason of which it cannot be said that any of the Cluster Flats comprises ‘a house which is required to be licenced’ within section 95 of the Act. In consequence the Respondents have not committed offences upon which RRO applications may be based.

[5]The preliminary hearing took place in Manchester on 27 March 2026 and proceeded by way of legal submissions only. The Applicants were all represented by George Penny of counsel and the Respondents were all represented by Paul Whatley of counsel. We are grateful to them both for their assistance.

[6]Judgment was reserved. Cluster Flats

[7]The Tribunal did not inspect any of the premises to which these proceedings relate, but there is no dispute as to their salient features.

[8]As already mentioned, the accommodation relevant to each RRO application is located within large, purpose built student accommodation blocks. Each block contains multiple cluster flats (“Cluster Flats”). Each Cluster Flat comprises: a) a number of individual bedrooms (typically between four and eight), each bedroom being let to an individual student under a separate tenancy agreement; b) shared use, by all occupiers of the Cluster Flat, of a kitchen and associated living space within the flat; and c) in some cases, shared bathing facilities, though in others the bedrooms include en suite bathrooms.

[9]The kitchen facilities within each Cluster Flat are communal. No individual bedroom contains its own cooking facilities.

[10]Each occupier has exclusive possession of their own bedroom, together with contractual rights to use the shared kitchen and other communal areas within the Cluster Flat. The parties are agreed that the individual tenancies of bedrooms within the Cluster Flats are assured shorthold tenancies within the meaning of the Housing Act 1988 (“1988 Act”). Statutory framework

[11]An applicant for a RRO must prove that the respondent landlord has committed an offence listed in section 40(3) of the 2016 Act. That list includes the offence under section 95(1) of the 2004 Act (control or management of an unlicensed house) as well as that under section 72(1) (control or management of an unlicensed HMO). It is the former offence which the Applicants rely on in these proceedings.

[12]The offence under section 95(1) of the 2004 Act relates to the ‘selective licensing’ regime in Part 3 of the 2004 Act. The offence is committed by a person having control of or managing a house which is required to be licensed under Part 3 but is not so licensed.

[13]Assuming that it is situated within an area which has been designated for selective licensing purposes (Liverpool has), then, by virtue of section 85 of the 2004 Act, a house must be licensed under Part 3 unless it is an HMO to which Part 2 of that Act applies (none of the Cluster Flats are), or else a temporary exemption notice or a management order is in force in relation to it (there is no such notice or order in this case).

[14]Clearly, however, the premises in question must first of all be a “house”. That house must also be occupied in a manner described in section 79(2)(b) of the 2004 Act, which provides: This Part applies to a house if–(a) …

(b) the whole of it is occupied either– (i) under a single tenancy or licence that is not an exempt tenancy or licence under subsection (3) or (4), or (ii) under two or more tenancies or licences in respect of different dwellings contained in it, none of which is an exempt tenancy or licence under subsection (3) or (4).

[15]The parties agree that none of the Applicants occupy/occupied their accommodation under an exempt tenancy or licence.

[16]A “house” is defined in section 99 of the 2004 Act, which provides: In this Part– “dwelling” means a building or part of a building occupied or intended to be occupied as a separate dwelling; “house” means a building or part of a building consisting of one or more dwellings; Argument

[17]In advancing the preliminary issue, the Respondents submit that, in light of the statutory framework described above, the crucial question is whether the accommodation demised to any given Applicant is/was occupied as a “separate dwelling” within the settled meaning of that expression. Mr Whatley submitted that this is a long established term of art in housing law. Its meaning excludes accommodation where the occupier must share essential living accommodation, including a kitchen, with others. The Applicants’ accommodation necessarily involves such sharing. Mr Whatley submitted that, applying orthodox authority, neither the individual bedrooms nor Cluster Flats as a whole fall within the statutory definition of a dwelling.

[18]The Respondents rely principally on JLK Ltd v Ezekwe

[2017] UKUT 277 (LC)

, where the Upper Tribunal (Lands Chamber) held that student accommodation comprising individual units with rights to use shared kitchens and communal space was not occupied as separate dwellings. Mr Whatley submitted that the reasoning applies directly to the present factual matrix. He further relied on Q Studios (Stoke) RTM Co Ltd v Premier Grounds Rent No. 6 Ltd

as approving that analysis, and on Alothman Holdings Ltd v Better Intelligent Management Ltd

[2024] UKUT 253 (LC)

as treating it as settled that cluster units of materially similar character could not be separate dwellings in the face of Ezekwe.

[19]Mr Whatley’s conclusion was that Cluster Flats are not “houses” to which Part 3 of the 2004 Act applies, are not required to be licensed, and that no offence under section 95 can be established to support the RRO applications.

[20]The Applicants resist that analysis. On their behalf Mr Penny submitted that the Respondents’ authorities arise in statutory contexts concerned with disputes between long leaseholders and freeholders, and that they should not be transposed into the Part 3 licensing regime, which is directed to tenant protection. He contended that the Tribunal should approach the statutory language purposively.

[21]Mr Penny’s primary submission was that each Applicant occupied their room as a dwelling by dint of the combined effect of section 79(2) of the 2004 Act and section 3 of the 1988 Act. He argued that no separate deeming provision is required in the 2004 Act, and that the interaction between section 3 of the 1988 Act and section 79(2)(b)(ii) of the 2004 Act is sufficient to treat the occupation as being under “two or more tenancies … in respect of different dwellings”.

[22]Mr Penny also relied on the structure of the 2004 Act, in particular references in Schedule 1 to HMOs licensed under Part 3. He submitted that the Respondents’ construction would exclude significant categories of shared accommodation from any licensing regime in selective licensing areas, producing outcomes which Parliament cannot have intended. Mr Penny also referred to the Respondents’ prior licensing practice and to their dealings with the local housing authority (Liverpool City Council) for contextual support. Discussion

[23]The parties agree that the Cluster Flats are not subject to mandatory HMO licensing under Part 2 of the 2004 Act. That is why the Applicants must establish that those flats are houses which are required to be licensed under Part 3. The argument that Cluster Flats are indeed such houses proceeds on the footing that the authorities relied upon by the Respondents should be distinguished because they arise in statutory contexts concerned with long leaseholder protection, whereas Part 3 selective licensing is a tenant protection regime.

[24]We do not accept that submission. The critical concept in issue is that of a “separate dwelling”, which appears in section 99 of the 2004 Act as part of the definitional gateway to the selective licensing regime. That expression has a long pedigree in housing legislation and has been given a consistent meaning by the higher courts. The fact that particular authorities arise under different statutory schemes does not deprive their analysis of relevance where Parliament has chosen to employ the same expression without qualification. The Applicants’ proposed distinction would require the Tribunal to treat “separate dwelling” as having a variable meaning depending on the perceived policy objective of the statute in question. There is no principled basis for such an approach.

[25]Central to the Applicants’ argument is the deeming provision in section 3 of the 1988 Act, subsection (1) of which provides: Where a tenant has the exclusive occupation of any accommodation (in this section referred to as “the separate accommodation”) and—(a) the terms as between the tenant and his landlord on which he holds the separate accommodation include the use of other accommodation (in this section referred to as “the shared accommodation”) in common with another person or other persons, not being or including the landlord, and

(b) by reason only of the circumstances mentioned in paragraph (a) above, the separate accommodation would not, apart from this section, be a dwelling-house let on an assured tenancy, the separate accommodation shall be deemed to be a dwelling-house let on an assured tenancy and the following provisions of this section shall have effect.

[26]Whilst acknowledging that there is no equivalent deeming provision in the 2004 Act, the Applicants contend that there is no need for one: the effect of section 3(1) of the 1988 Act is not expressly limited in application for the purposes of that Act, and is clearly intended to be read across for the purposes of section 79(2) of the 2004 Act, given that the bedrooms within the Cluster Flats are let to Applicants on assured shorthold tenancies.

[27]In our judgment, however, section 3(1) of the 1988 Act, properly understood, does not assist the Applicants. As the Deputy President explained in paragraph 45 of the Upper Tribunal’s judgment in JLK Ltd v Ezekwe, deeming provisions of this kind exist to ensure that statutory protection under the relevant Act is not lost merely because an occupier shares some accommodation with others. Section 3 ensures that shared accommodation is not excluded from the assured tenancy regime where the sharing is not with the landlord. It does not deem the premises to be a “separate dwelling” for all statutory purposes, nor does it alter the underlying meaning of that expression. Rather, it operates as a targeted modification for the purposes of the 1988 Act alone.

[28]That point is underscored by paragraph 46 of Ezekwe. There, the Upper Tribunal drew a clear distinction between statutes which contain express deeming provisions and those which do not. In the absence of such a provision, the settled meaning of “separate dwelling” applies without modification. So, the absence of such a provision in Part 3 of the 2004 Act is significant. It places the 2004 Act in the same position as the Landlord and Tenant Act 1985, where it has consistently been held that shared living accommodation prevents occupation as a separate dwelling. The Applicants’ submission would require the Tribunal to read into the 2004 Act a deeming provision which Parliament has not enacted.

[29]The Applicants’ approach also gives rise to a further difficulty. It would produce the anomalous result that the same premises could constitute a “separate dwelling” for the purposes of Part 3 licensing, but not for the purposes of other statutory regimes which use the same concept, including service charge protection under the 1985 Act and the right to manage under the Commonhold and Leasehold Reform Act 2002. That would be an incoherent outcome. Where Parliament has employed the same language across related housing statutes, the Tribunal should strive for consistency of interpretation unless the statutory text clearly requires otherwise. No such indication appears here.

[30]We do not accept the Applicants’ contention that this analysis leads to the conclusion that HMOs would never be subject to selective licensing (but we do agree that the 2004 Act contemplates this possibility). A conventional student house, let on a single joint tenancy to several individuals, is a paradigm example of accommodation which may fall outside mandatory HMO licensing under Part 2 of the 2004 Act, yet still require a selective licence under Part 3, provided the other statutory conditions are met. Such premises are occupied under a single tenancy and readily fall within section 79(2)(b)(i). The fact that Cluster Flats let on multiple individual tenancies do not satisfy the statutory criteria does not deprive Part 3 of meaningful scope.

[31]Nevertheless, it does have to be acknowledged – as Mr Penny rightly pointed out – that, even in an area designated for selective licensing, some HMOs might not meet the licensing requirements either under Part 2 or Part 3: a 2-bedroom flat with each bedroom let on an individual tenancy and joint rights to use the communal space would not be either a mandatory or additional scheme HMO and it would be excluded from the selective scheme. Such arrangements would perhaps be unusual but, even if relatively common, their exclusion from licensing would not be so absurd as to require the 2004 Act to be interpreted in the manner contended for by the Applicants.

[32]For completeness, we have considered whether a Cluster Flat, taken as a whole (that is, the bedrooms together with the shared kitchen and living space), could itself constitute a “separate dwelling” for the purposes of section 99 of the 2004 Act. We have concluded that it could not. Each Cluster Flat is occupied under multiple individual tenancies, not under a single tenancy. Section 79(2)(b)(i) is therefore not satisfied. Nor is section 79(2)(b)(ii), which requires occupation under two or more tenancies “in respect of different dwellings”. On this analysis, the Cluster Flat would be a single dwelling, not “different dwellings”. Accordingly, even if the Cluster Flat as a whole were capable in principle of amounting to a dwelling, the statutory conditions for selective licensing under Part 3 would still not be met.

[33]Finally, we reject the submission that the Respondents’ past conduct, or that of Liverpool City Council, affects the proper application of the statute. The fact that the Respondents had previously licensed Cluster Flats in Liverpool under an earlier selective licensing designation does not determine the meaning of primary legislation. Nor does it follow that, unless the Applicants are correct, the local housing authority is deprived of the ability to regulate an important category of housing stock in its area. The statutory scheme provides a clear mechanism by which the Council could bring the vast majority of Cluster Flats within scope of licensing under Part 2, by making an additional licensing designation under section 56 of the 2004 Act. Indeed, that regime is arguably better suited to the regulation of such accommodation, being specifically designed to address the management and condition of HMOs. Outcome

[34]For these reasons, we conclude that the Applicants’ submissions do not displace the Respondents’ construction of the statutory scheme. Applying the settled meaning of “separate dwelling”, Cluster Flats are not houses that are required to be licensed under Part 3 of the 2004 Act, and the preliminary issue must be resolved accordingly.

[35]It follows that the Applicants will be unable to establish that any of the Respondents has committed an offence under section 95(1) of the 2004 Act. The RRO applications must therefore be dismissed.
