(4) The rationale for this agreement (that is to say the agreement referenced in sub-paragraph (3) above) was timing - it was important that the Claimant was incorporated in sufficient time to meet the target date for listing (planned on23 August 2011 ). (5) Hence and for the avoidance of doubt, there was an agreement in place as to how the shares were to be held, on the terms set out above...”
